IMPORTANT LEGAL NOTICE

PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OUR SERVICES, SUBMITTING CONTENT, PARTICIPATING IN AN INTERVIEW, OR AUTHORIZING PUBLICATION.

These Terms of Use, Editorial Participation & Contributor Publishing Agreement ("Agreement" or "Terms") constitute a legally binding agreement between AmpLever, LLC, a Colorado limited liability company ("AmpLever," "Company," "we," "our," or "us"), and individuals or organizations accessing or using the services described herein ("User," "Contributor," "you," or "your").

These Terms govern the use of AmpLever-operated digital publishing services, including Biz Amplified Magazine, and the submission, publication, distribution, and promotion of editorial content.

Certain provisions, including those addressing intellectual property licensing, warranties, indemnification, limitation of liability, mediation, and binding arbitration, may materially affect your legal rights.

SECTION 35 CONTAINS A BINDING ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER, SUBJECT TO THE EXCEPTIONS AND PROTECTIONS STATED THEREIN.

By accessing or using our public website, you agree to the applicable website-use provisions of these Terms to the extent a legally enforceable agreement is formed.

By affirmatively selecting an acceptance checkbox, signing an agreement electronically, or otherwise expressly accepting these Terms in connection with an editorial submission, you agree to the Contributor Publishing Agreement and grant the rights expressly described herein.

Merely visiting the website, without affirmative agreement, does not by itself establish acceptance of the contributor publishing license or arbitration provisions where applicable law requires additional assent.

If you do not agree to the applicable Terms, you should discontinue use of the services and refrain from submitting content.

PART I — COMPANY, PLATFORM & GENERAL TERMS

1. Company Identity and Business Operations

AmpLever, LLC is a limited liability company formed in the State of Colorado, United States, with its business origins in Denver, Colorado.

AmpLever develops, operates, and licenses digital publishing systems, editorial platforms, branded media properties, and related technologies designed to help businesses, professionals, entrepreneurs, organizations, and communities create and distribute independently published media.

AmpLever operates under a publishing model that combines original editorial content, contributor-submitted material, structured interviews, digital media distribution, advertising, sponsorships, and related publishing services.

Biz Amplified Magazine is an AmpLever-operated publication focused on sharing the stories of entrepreneurs, business owners, professionals, innovators, and organizations.

AmpLever may also provide publishing technology and associated services to independently operated publications under separate written licensing agreements.

Unless expressly identified otherwise, references to AmpLever in these Terms mean AmpLever, LLC, not any independent licensee, contributor, advertiser, featured business, or third-party service provider.

The existence of a publishing, advertising, licensing, or editorial relationship does not create a legal partnership, employment relationship, joint venture, fiduciary relationship, or agency relationship between AmpLever and a User.

2. Scope of the Agreement

These Terms govern activities including:

  1. Visiting and using AmpLever-operated websites.

  2. Reading and sharing publicly available editorial content.

  3. Participating in contributor interviews.

  4. Submitting original articles, responses, photographs, graphics, or other materials.

  5. Authorizing the publication and distribution of submitted materials.

  6. Participating in editorial features, business profiles, or industry interviews.

  7. Submitting event information or announcements.

  8. Interacting with advertisements, sponsorships, and promotional materials.

  9. Accessing other services expressly made subject to these Terms.

Separate agreements may govern magazine licensing, software services, paid advertising, sponsorships, consulting, events, subscriptions, and other commercial arrangements.

Where a separately executed written agreement expressly conflicts with these Terms, the more specific agreement controls regarding its subject matter.

These Terms do not automatically replace or modify existing contracts.

3. Definitions

For purposes of this Agreement:

"Platform" means the AmpLever-operated digital publishing infrastructure, associated websites, applications, editorial systems, and related services.

"Publication" means Biz Amplified Magazine or another AmpLever-operated publication expressly made subject to these Terms.

"Contributor" means an individual or authorized organization that voluntarily submits material for possible publication.

"Contributor Content" means original interview answers, written materials, photographs, graphics, videos, biographies, logos, professional information, and other materials submitted by a Contributor.

"Published Content" means content made publicly accessible through a Publication, including original editorial work, Contributor Content, and lawfully licensed third-party materials.

"Editorial Materials" means publisher-created introductions, headlines, descriptions, commentary, layouts, graphics, interviews, and other editorial work.

"Authorized Publication Partner" means a service provider, distributor, or licensee that has received permission from AmpLever to perform defined publishing activities.

"Commercial Content" means advertisements, sponsorships, paid promotional placements, affiliate promotions, or other commercial communications.

"Intellectual Property" includes legally protectable copyrights, trademarks, service marks, trade secrets, proprietary technology, and other rights recognized under applicable law.

"Submission" means the voluntary delivery of content or information for editorial consideration, whether through a form, interview workflow, email, or other authorized channel.

4. Eligibility and Authority

Users must be legally capable of entering into binding agreements.

Contributors must be at least eighteen (18) years of age unless AmpLever has expressly authorized another lawful participation arrangement with appropriate consent.

Individuals submitting content on behalf of an organization represent that they have authority to provide the information and grant the rights described in this Agreement.

Such authority must extend to the specific materials being submitted.

For example, an employee's authority to describe an employer's business does not necessarily establish authority to license photographs owned by an outside photographer.

AmpLever may request reasonable verification of identity, authority, ownership, or permissions.

We may decline to publish materials when sufficient authorization cannot be established.

5. Nature of the Publishing Services

AmpLever provides a publishing environment through which contributors may share professional experiences, business information, opinions, expertise, and personal stories.

Participation may occur through structured interviews, written submissions, editorial invitations, event features, business profiles, or other authorized publishing formats.

AmpLever may use automated technology to facilitate the selection of interview questions, collection of responses, creation of article layouts, editorial review, publication, and distribution.

An invitation to participate does not guarantee publication.

A completed submission does not guarantee editorial approval, a particular headline, a featured placement, or a specified promotional campaign.

The Company retains discretion over the operation, design, presentation, and administration of its publications, subject to contractual obligations and applicable law.

6. Editorial Independence

AmpLever is committed to independent publishing and accurate representation of contributors.

Editorial coverage may include opinions, business experiences, personal narratives, industry observations, announcements, and other information supplied by contributors or independently developed by editorial personnel.

Unless expressly stated otherwise, views attributed to contributors are their own.

Publication does not necessarily constitute an endorsement, verification, recommendation, or certification by AmpLever.

AmpLever may publish perspectives with which it does not agree.

The Company may decline to publish materials that are unlawful, misleading, improperly sourced, infringing, or inconsistent with reasonable editorial standards.

AmpLever may also publish corrections, clarifications, editorial responses, or additional reporting where appropriate.

No Contributor has an automatic right to control the Magazine's independent editorial conclusions.

7. No Guaranteed Publication or Results

Submission of content does not guarantee publication.

Publication does not guarantee specific business outcomes.

AmpLever does not promise:

  • A minimum number of readers or article views.

  • A specific search engine ranking.

  • A particular level of social media engagement.

  • Customer acquisition or sales.

  • Investor introductions or financing.

  • Employment opportunities.

  • Media interviews or public recognition.

  • Commercial partnerships.

  • Continued distribution by third-party platforms.

Audience statistics, historical examples, engagement reports, and other performance measurements are informational unless expressly incorporated into a separate written agreement.

Historical results are not guarantees of future performance.

PART II — CONTRIBUTOR PARTICIPATION & CONTENT RIGHTS

8. Voluntary Editorial Participation

Participation in AmpLever interviews and editorial features is voluntary unless otherwise provided by a separate agreement.

A Contributor may be invited to answer questions concerning professional experiences, business activities, industry perspectives, personal achievements, or related subjects.

Contributors may be permitted to choose which questions they answer.

The selection of questions and submission of answers do not create an employment relationship with AmpLever.

Unless separately agreed in writing, Contributors are not employees, independent contractors hired to produce works for AmpLever, or paid authors.

No compensation is owed solely because an individual participates in a complimentary editorial interview.

Contributors should submit only information they are authorized and comfortable making available for possible public publication.

9. Contributor Responsibility for Submissions

Contributors are responsible for the materials they submit.

This responsibility includes the accuracy of factual statements, the identification of third-party materials, and the possession of appropriate permissions.

Contributors should distinguish factual claims from personal opinions.

Claims concerning financial performance, professional qualifications, customer results, product capabilities, awards, certifications, or business achievements should be reasonably supportable.

Contributors must not knowingly submit fabricated testimonials, misleading endorsements, defamatory allegations, or unlawfully obtained confidential information.

AmpLever may request supporting documentation where a statement creates a reasonable legal, editorial, or reputational concern.

The Company is not obligated to independently verify every statement submitted through an interview.

However, AmpLever may conduct editorial verification, request clarification, or decline publication.

10. Ownership of Original Contributor Content

Contributors retain copyright ownership in the original copyrightable expression they create and lawfully own, except where a separate valid written agreement provides otherwise.

Submission to AmpLever does not automatically constitute an assignment of copyright.

Publication in Biz Amplified does not automatically transfer ownership of a Contributor's interview answers to AmpLever.

Likewise, the use of an AmpLever editorial template does not establish Company ownership of the Contributor's underlying original expression.

Third-party rights remain with their respective owners.

The Contributor acknowledges that AmpLever may separately own original editorial materials, publication designs, software, layouts, and qualifying compilations.

The respective ownership interests of the Contributor and AmpLever may coexist within a single published article.

11. Grant of Contributor Publishing License

By affirmatively accepting these Terms and submitting materials for publication, the Contributor grants AmpLever, LLC a worldwide, nonexclusive, royalty-free, fully paid-up, transferable, and sublicensable license to use the submitted materials for the authorized purposes described in this Agreement.

The license includes the rights, to the extent the Contributor possesses them, to reproduce, publish, distribute, publicly display, publicly perform where applicable, store, format, adapt, translate, excerpt, and otherwise use the materials within the defined scope.

The license is intended to continue perpetually, subject to applicable law, statutory termination rights, and any controlling written agreement.

This grant includes the following categories of use.

11.1 Initial Editorial Publication

AmpLever may publish submitted materials in the publication for which they were originally provided.

This includes displaying interview answers, biographies, photographs, business information, and related supporting materials.

11.2 Editorial Formatting and Adaptation

AmpLever may correct spelling, punctuation, grammar, and formatting.

The Company may create summaries, introductions, excerpts, captions, headlines, and other editorial materials.

AmpLever may reorganize content for readability, accessibility, responsive display, or publication formatting.

Material changes to attributed statements should not knowingly misrepresent the Contributor's intended meaning.

11.3 Promotional Distribution

AmpLever may promote a published feature through websites, social media, newsletters, email communications, digital advertisements, promotional graphics, and other authorized media channels.

This permission includes reasonable use of article excerpts, images, professional identities, and approved biographical information directly connected to the published feature.

11.4 Archival Preservation

AmpLever may preserve published content in archives, databases, backups, historical publication records, and other storage systems.

The Company may migrate content between technical systems and formats.

Archival rights are subject to applicable privacy, copyright, and other legal obligations.

11.5 Authorized Syndication

AmpLever may syndicate or republish submitted materials through authorized AmpLever publications and distribution partners where the use remains reasonably connected to the Contributor's original editorial participation.

Material republication in a substantially different editorial context must not falsely imply new statements, endorsements, or affiliations.

11.6 Technical Service Providers

AmpLever may authorize hosting providers, content delivery networks, accessibility services, search providers, and other contractors to process or reproduce content as reasonably necessary to deliver the authorized publishing services.

Such providers receive no independent right to exploit Contributor Content beyond the authorized service purposes.

11.7 Commercially Supported Publications

Contributors acknowledge that published articles may appear within media properties supported by advertising, sponsorships, licensing revenue, subscriptions, or other lawful commercial arrangements.

The presence of commercial revenue does not, by itself, create an obligation to pay royalties to the Contributor.

Separate compensation arrangements must be documented in writing.

12. Limitations on the Publishing License

The publishing license does not grant AmpLever unlimited ownership or unrestricted commercial exploitation of Contributor Content.

Unless separately authorized or otherwise lawful, AmpLever may not:

  1. Sell a Contributor's portrait as unrelated standalone stock photography.

  2. Place a Contributor's identity on unrelated merchandise.

  3. Fabricate quotations and attribute them to the Contributor.

  4. Falsely suggest the Contributor personally endorses an unrelated product.

  5. Knowingly alter attributed statements in a materially misleading manner.

  6. Use submitted materials outside the rights the Contributor possessed.

  7. Transfer ownership of the Contributor's underlying copyright merely by changing article attribution.

AmpLever may use original publisher-created editorial materials independently to the extent it owns or lawfully licenses those materials.

Nothing in this Agreement limits uses otherwise permitted under applicable copyright law.

13. Names, Images, Likenesses, and Professional Identities

Contributors authorize AmpLever to use their submitted or approved names, portraits, biographies, professional titles, business affiliations, and related professional identities in connection with their published features.

This permission includes reasonable editorial promotion and distribution.

The Company may identify a Contributor in article previews, social media posts, newsletters, promotional advertisements for the feature, and publication portfolios.

This authorization does not establish a general right to use the Contributor as a spokesperson for unrelated products or services.

Contributors must possess appropriate authorization for identifiable individuals appearing in submitted photographs or other materials.

Where a submission includes a minor, sensitive personal information, or an individual who has not consented to the intended use, AmpLever may require additional documentation or decline publication.

14. Photographs and Visual Materials

Photographs may be protected by copyright independently of the subject appearing in the image.

A Contributor appearing in a photograph does not necessarily own the photograph's copyright.

Contributors must obtain appropriate authorization from photographers, agencies, employers, or other rights holders before submitting protected images.

Materials copied from search engines, social media accounts, news websites, or other publications must not be submitted merely because they are publicly accessible.

Where permission is limited to a particular publication, campaign, or use, the Contributor must disclose that limitation before submission.

AmpLever may request proof of authorization.

The Company may remove, replace, or decline materials where permissions are disputed or insufficient.

Copyright notices and photographer credits should be preserved where required by law or license.

15. Business Names, Logos, and Trademarks

Contributors may submit business names, trademarks, and logos for identification and editorial presentation.

Submission does not transfer ownership of those marks to AmpLever.

The Contributor grants permission, to the extent authorized, to reproduce the marks in connection with the relevant editorial feature and its promotion.

AmpLever may also refer to businesses and products through lawful descriptive or nominative uses.

Nothing in these Terms grants AmpLever the right to register another company's trademark or claim exclusive ownership of a Contributor's brand.

Likewise, Contributors receive no right to use AmpLever's trademarks beyond authorized references or approved promotional materials.

16. Editorial Attribution and Authorship

AmpLever distinguishes between the featured subject of an article, the source of interview responses, the author of original editorial expression, and the publisher.

An interview participant may be identified using terms such as:

  • Featuring

  • Interview With

  • Responses Provided By

  • Contributor

  • Guest Author

AmpLever may identify itself as the publisher or editorial producer.

Original editorial articles created by authorized personnel may be attributed to the AmpLever Editorial Team or the relevant publication.

Guest-authored articles may identify the guest author.

Publication under the AmpLever or Biz Amplified name does not automatically transfer ownership of Contributor Content.

Article metadata, search-engine structured data, author pages, and visible bylines should accurately reflect the applicable editorial role.

AmpLever reserves the right to correct inaccurate or misleading attribution.

17. Contributor Review and Editorial Approval

AmpLever may provide Contributors with opportunities to review submissions before publication.

Where an automated workflow permits Contributors to submit and publish their own responses, the Contributor remains responsible for the content submitted.

A Contributor's approval of a draft authorizes publication of the approved materials within the scope of the publishing license.

AmpLever may make minor editorial and technical changes without seeking repeated approval.

Where substantial revisions materially affect attributed statements, the Company may request further confirmation.

Editorial approval does not constitute a guarantee that every claim has been independently verified.

AmpLever may publish corrections or clarifications after publication when reasonably necessary.

18. Corrections, Updates, and Removal Requests

Contributors may request corrections to factual inaccuracies.

Requests should identify the article, disputed material, proposed correction, and supporting information.

AmpLever will evaluate reasonable requests in good faith.

The Company may correct, clarify, update, restrict, or remove content where appropriate.

Publication does not create an unconditional contractual right to demand removal solely because a Contributor changes professional direction, experiences reputational concerns, or no longer wishes to participate.

However, applicable privacy, copyright, publicity, consumer protection, and other laws may establish independent rights or remedies.

AmpLever may retain reasonable internal records of editorial changes and disputes.

Previously distributed materials may remain accessible through independent third-party services beyond AmpLever's direct control.

19. Withdrawal Before Publication

Contributors may request withdrawal of a submission before publication by contacting AmpLever through its official contact page.

AmpLever will make reasonable efforts to honor timely withdrawal requests where the content has not yet been published or irrevocably committed to distribution.

A withdrawal request does not necessarily invalidate separately granted rights already exercised in accordance with this Agreement.

Where content has already been published, Section 18 governs subsequent requests.

PART III — EDITORIAL TECHNOLOGY & ARTIFICIAL INTELLIGENCE

20. Automated Publishing Systems

AmpLever may use automated systems to administer interviews, collect responses, organize submissions, generate layouts, manage publication workflows, and distribute editorial content.

These systems may perform tasks traditionally associated with editorial administration.

The use of automation does not eliminate the distinction between original Contributor Content and original Company-created materials.

Contributors remain responsible for the accuracy and authorization of their submissions.

AmpLever remains responsible for its own representations, editorial conduct, and legal obligations.

The Company may modify or replace its publishing technologies without obtaining additional Contributor approval, provided the authorized scope of content use is respected.

21. AI-Assisted Editorial Processes

AmpLever may use artificial intelligence tools to assist with permitted editorial and administrative activities.

Such activities may include grammar correction, summarization, accessibility formatting, headline suggestions, categorization, translation, or preparation of promotional excerpts.

AmpLever will not knowingly present fabricated quotations as authentic Contributor statements.

AI-generated or AI-assisted content may require human review, particularly where factual accuracy, attribution, or personal reputation is involved.

Where required by applicable law, AmpLever will provide appropriate disclosures regarding synthetic or materially altered media.

These Terms do not authorize unrelated training of third-party commercial AI models on private, unpublished Contributor Content.

Any materially broader use of private Contributor Content for AI model training would require an appropriate separate legal basis or authorization.

Contributors should not submit confidential information, trade secrets, or sensitive personal information unless specifically authorized for the intended use.

22. Accuracy and Editorial Integrity

AmpLever may use automated systems to help organize or present Contributor Content, but automation does not guarantee factual accuracy.

Contributors should review their submissions before final approval.

The Company may correct obvious technical errors and may investigate credible reports of inaccurate or misleading publication.

Where an AI-assisted editorial process materially changes the meaning of an attributed statement, AmpLever should obtain appropriate approval or revise the content.

Nothing in these Terms permits knowingly defamatory publication, fraudulent impersonation, or unlawful use of another person's identity.

PART IV — AMPLEVER INTELLECTUAL PROPERTY & LICENSED PUBLICATIONS

23. Ownership of AmpLever Intellectual Property

AmpLever, LLC retains all rights, title, and interest in intellectual property that it owns or lawfully acquires.

This may include:

  • The AmpLever name, logos, and trademarks.

  • The Biz Amplified name and original publication branding.

  • Original software, code, and proprietary publishing technology.

  • Original editorial templates and graphic designs.

  • Original publisher-created articles and commentary.

  • Original interview frameworks and protectable question wording.

  • Original promotional materials and publication artwork.

  • Original databases and compilations to the extent protected by law.

  • Proprietary business documentation and confidential information.

  • Other independently developed or lawfully acquired intellectual property.

No User obtains ownership of Company intellectual property merely by accessing the Platform or participating in an interview.

AmpLever does not claim copyright ownership of general facts, abstract ideas, business methods, or other unprotectable subject matter solely through these Terms.

24. Licensed Digital Publications

AmpLever may license publishing systems, branding, technology, and related intellectual property to third parties under separate agreements.

Licensed publications may be operated by independent businesses or individuals.

The legal operator of a licensed publication should be clearly identified in that publication's applicable legal terms.

A licensee does not automatically become an employee, partner, or agent of AmpLever.

A licensing agreement does not automatically establish AmpLever ownership of all independently created licensee content or Contributor Content.

The respective rights of AmpLever, licensees, and contributors are determined by applicable law and the relevant written agreements.

Licensees must obtain adequate permissions for content they submit or publish.

25. Cross-Publication Distribution

Contributor Content may be distributed through authorized AmpLever publications where permitted by the publishing license and consistent with the original editorial context.

Such distribution may include excerpts, related editorial features, archival republication, or syndication.

AmpLever should not materially misrepresent the source or circumstances of an interview.

Where a separate publication seeks to use content for a substantially unrelated commercial purpose, additional authorization may be required.

A licensee's access to content does not automatically grant unlimited sublicensing rights.

Authorized publication partners must comply with their contractual restrictions and applicable law.

26. Termination of Licensed Publishing Relationships

If a licensed publication's relationship with AmpLever ends, the rights and obligations of the parties will be determined by the applicable licensing agreement.

Termination does not automatically transfer ownership of Contributor Content.

Nor does it automatically extinguish publishing rights previously and lawfully granted to AmpLever.

Continued use of branding, proprietary technology, archives, and other materials following termination must comply with the relevant agreements.

Licensees remain responsible for materials they independently control and for their own legal obligations.

Nothing in these Terms overrides a Contributor's statutory rights or a separately executed agreement.

PART V — ADVERTISING, SPONSORSHIPS & COMMERCIAL SERVICES

27. Advertising and Sponsored Content

AmpLever may generate revenue through advertising, sponsorships, premium placements, branded content, and other lawful commercial services.

Commercial relationships do not automatically establish editorial endorsement.

Where legally required, sponsored or paid promotional material will be identified through appropriate disclosures.

Advertisers are responsible for the accuracy and legality of their claims.

AmpLever may reject advertising that is unlawful, deceptive, infringing, or inconsistent with reasonable publication standards.

The Company may distinguish independent editorial coverage from paid placements.

28. Paid Services and Separate Agreements

Paid advertising, sponsorships, publishing licenses, and other commercial services may be subject to separate pricing, payment, cancellation, and refund terms.

Those terms must be disclosed or incorporated into the applicable purchase or service agreement.

These general Terms do not independently establish an obligation to purchase services.

Nor do they modify fees or revenue-sharing arrangements contained in separately executed agreements.

Unless expressly agreed in writing, payment for a commercial service does not guarantee favorable editorial coverage.

29. Commercial Relationships and Disclosures

Contributors must disclose material relationships that could affect the interpretation of endorsements or promotional claims.

Such relationships may include compensation, gifts, affiliate arrangements, ownership interests, employment, or other material incentives.

AmpLever may request clarification or additional disclosures.

The Company may add legally required labels or disclaimers to published content.

Contributors and advertisers must not knowingly conceal material relationships in a manner that makes a promotional communication misleading.

PART VI — WEBSITE USE, PRIVACY & THIRD-PARTY SERVICES

30. Acceptable Use

Users agree to use the Platform lawfully.

Prohibited conduct includes:

  1. Unauthorized access to accounts, databases, or administrative systems.

  2. Uploading malicious code or interfering with website security.

  3. Knowingly submitting infringing or unlawfully obtained materials.

  4. Fraudulent impersonation or misrepresentation.

  5. Unlawful harassment, threats, or defamatory conduct.

  6. Manipulating article metrics or engagement systems through unauthorized means.

  7. Circumventing technical access restrictions.

  8. Unauthorized commercial scraping or bulk extraction of protected materials.

  9. Misusing the Platform to violate another person's legal rights.

  10. Engaging in conduct that materially disrupts authorized services.

AmpLever may restrict access or remove materials where reasonably necessary.

Nothing in this section prohibits lawful fair use, independent reporting, criticism, or other legally protected activity.

31. Reader Access and Sharing

Readers may access publicly available articles and share links through lawful means.

Users may use official sharing features.

Short quotations, commentary, criticism, and other uses permitted by applicable law remain permitted.

Users may not reproduce entire protected articles, sell unauthorized copies, or commercially exploit Company-owned content without permission or another lawful basis.

Sharing a link does not grant ownership of the underlying content.

Third-party platforms may impose additional terms on users who share content through their services.

32. Privacy and Personal Information

AmpLever may collect information necessary to operate the publishing services.

Such information may include names, professional details, contact information, submitted content, technical usage information, and records of contributor consent.

Collection, use, retention, disclosure, and deletion of personal information are governed by applicable law and the Company's separately published Privacy Policy.

Contributors acknowledge that information intentionally submitted for public publication may become accessible to readers, search engines, and third-party services.

AmpLever cannot guarantee removal of all independently cached or previously distributed copies.

The Company will honor legally required privacy rights and procedures.

These Terms do not replace a legally compliant Privacy Policy or any required privacy notices.

33. External Links and Third-Party Services

AmpLever publications may link to external websites, social media platforms, advertisers, businesses, and other services.

These services are independently operated unless expressly stated otherwise.

AmpLever does not control all third-party content, availability, security, or business practices.

The inclusion of a link does not necessarily constitute endorsement.

Users should review applicable third-party terms before engaging with external services.

PART VII — COPYRIGHT COMPLIANCE & LEGAL CLAIMS

34. Copyright Complaints and DMCA Procedures

AmpLever respects the intellectual property rights of creators, photographers, publishers, and other rights holders.

Copyright owners or authorized representatives may report allegedly infringing content.

A copyright complaint should identify:

  1. The copyrighted work allegedly infringed.

  2. The specific material or URL at issue.

  3. Information sufficient to locate the material.

  4. Contact information for the complaining party.

  5. A statement of good-faith belief that the disputed use is unauthorized.

  6. A statement of accuracy and authority made under penalty of perjury where required.

  7. The physical or electronic signature of an authorized person.

AmpLever will review legally sufficient notices and take appropriate action consistent with applicable law.

Where the Digital Millennium Copyright Act applies, AmpLever may remove or disable access to disputed material and process counter-notifications in accordance with statutory requirements.

AmpLever may maintain and reasonably implement a policy addressing repeat infringers.

Copyright complaints may be initiated through:

https://www.amplever.com/contact

Important: If AmpLever seeks applicable DMCA safe-harbor protections, it must separately publish the required designated-agent contact details and maintain any required U.S. Copyright Office registration. The general contact page alone is not a substitute for those requirements.

PART VIII — MEDIATION, ARBITRATION & GOVERNING LAW

35. Mandatory Dispute Resolution

35.1 Good-Faith Informal Resolution

Before initiating formal mediation or arbitration, the parties agree to attempt to resolve disputes through good-faith written communication.

A party seeking resolution should submit a written description of the dispute, relevant facts, and requested remedy.

Notices to AmpLever may be initiated through:

https://www.amplever.com/contact

The parties will ordinarily allow thirty (30) calendar days for informal resolution after adequate written notice is received.

This requirement does not prevent a party from seeking urgent relief or exercising non-waivable legal rights.

35.2 Mediation in Denver, Colorado

If informal negotiations do not resolve the dispute, the parties agree to attempt non-binding mediation before commencing arbitration, except where prohibited by applicable law or where urgent relief is necessary.

The designated mediation location shall be Denver, Colorado.

Mediation may occur remotely by videoconference or another mutually acceptable electronic method.

The parties will attempt to select a mutually acceptable neutral mediator.

If they cannot agree, either party may request mediation administered by the American Arbitration Association ("AAA") under its applicable mediation procedures.

For business-to-business disputes, the parties will ordinarily share mediator fees equally unless otherwise agreed.

For consumer disputes, applicable consumer rules and mandatory legal protections govern fee allocation.

The parties will make a reasonable good-faith effort to complete mediation within sixty (60) days after the mediator is appointed.

35.3 Binding Arbitration

If mediation does not resolve the dispute, covered claims shall be resolved through final and binding arbitration administered by the AAA, subject to the exceptions in this section.

Commercial disputes shall ordinarily proceed under the AAA Commercial Arbitration Rules.

Qualifying consumer disputes shall proceed under the applicable AAA Consumer Arbitration Rules and consumer due-process protections.

The arbitration shall be governed by the Federal Arbitration Act where applicable and otherwise by relevant Colorado arbitration law.

The arbitration shall ordinarily be conducted before one neutral arbitrator.

The legal seat of arbitration shall be Denver, Colorado, to the extent permitted by applicable law.

For consumer disputes, hearings may be conducted remotely, on written submissions, or at another location required by applicable law or AAA rules.

A consumer shall not be required to travel to Colorado where doing so would violate applicable consumer protections or render the arbitration provision unenforceable.

35.4 Arbitration Authority

The arbitrator may award remedies available under applicable substantive law, subject to lawful contractual limitations.

The arbitrator shall issue a reasoned written decision where required by applicable rules or requested in accordance with those rules.

A court of competent jurisdiction may enter judgment upon the arbitration award.

Questions concerning whether an arbitration agreement was validly formed and other matters reserved for courts by applicable law shall be decided by a court.

35.5 Arbitration Costs

For commercial disputes, fees shall be allocated under applicable AAA rules and the relevant agreement, subject to law.

For qualifying consumer disputes, AmpLever shall pay the administrative and arbitrator fees assigned to the business under applicable consumer rules.

Consumer fees shall not exceed the amounts permitted under applicable consumer arbitration rules or mandatory law.

Nothing in this Agreement requires a consumer to bear costs that would unlawfully prevent access to an available remedy.

35.6 Individual Proceedings and Class Action Waiver

To the extent permitted by applicable law, covered disputes shall proceed on an individual basis.

Neither party may require the other to participate in a class, collective, consolidated, or representative arbitration except where applicable law provides otherwise or the parties expressly agree.

This provision does not waive rights or proceedings that cannot lawfully be waived.

If a court determines that a particular waiver is unenforceable for a specific claim, the treatment of that claim shall be determined under applicable law without automatically invalidating unrelated provisions.

35.7 Exceptions to Arbitration

The arbitration requirement does not prevent:

  • Claims properly brought in small claims court within applicable jurisdictional limits.

  • Requests for temporary or preliminary judicial relief necessary to prevent imminent harm.

  • Claims that applicable law prohibits from mandatory arbitration.

  • Reports or complaints to government regulators or law enforcement.

  • Enforcement of non-waivable statutory rights.

  • Judicial proceedings necessary to determine the formation or enforceability of the arbitration agreement.

Where court proceedings are permitted and venue may lawfully be selected, the parties agree to the appropriate state or federal courts serving Denver, Colorado.

35.8 Consumer Arbitration Opt-Out

An individual consumer who affirmatively accepts this arbitration agreement may opt out of the arbitration provision by providing written notice within thirty (30) days after initial acceptance.

The notice must identify the individual, the relevant account or submission where applicable, and a clear request to opt out of arbitration.

Notices may be submitted through:

https://www.amplever.com/contact

Opting out of arbitration does not terminate the remaining applicable Terms.

35.9 Confidentiality

The parties may agree to maintain the confidentiality of mediation communications to the extent protected by applicable law.

Arbitration proceedings are subject to applicable rules, legal disclosure obligations, and any lawful confidentiality agreement.

Nothing in this section prohibits legally required disclosures, regulatory complaints, or protected communications with legal counsel.

36. Governing Law

These Terms shall be governed by the laws of the State of Colorado, United States, without regard to conflict-of-laws principles, except where federal law or mandatory laws of another jurisdiction apply.

The parties acknowledge AmpLever's formation in Colorado and its substantial business connection to Denver.

This governing-law provision does not eliminate non-waivable rights available to consumers or other protected persons under applicable law.

37. International Users

AmpLever publications may be accessible internationally.

Users outside the United States are responsible for complying with laws applicable to their own conduct.

AmpLever's Colorado governing-law and dispute-resolution provisions apply only to the extent legally enforceable.

Mandatory local consumer, privacy, copyright, and other protections may supersede conflicting contractual terms.

International Contributors acknowledge that their voluntarily published materials may be accessible in multiple jurisdictions.

Where applicable, moral rights, attribution rights, and other author protections remain subject to controlling law.

Nothing in these Terms constitutes an unlawful blanket waiver of non-waivable moral rights.

PART IX — LIABILITY, WARRANTIES & LEGAL PROTECTIONS

38. Disclaimer of Warranties

To the maximum extent permitted by law, AmpLever provides its public website and publishing services on an "as is" and "as available" basis.

AmpLever does not guarantee uninterrupted operation, freedom from all technical errors, or the accuracy of every statement submitted by independent Contributors.

The Company may modify, suspend, or discontinue features where reasonably necessary.

Nothing in this section excludes warranties or obligations that cannot lawfully be excluded.

39. Limitation of Liability

To the maximum extent permitted by applicable law, AmpLever, LLC and its officers, employees, contractors, and authorized representatives shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the services.

For claims arising solely from free public website use or complimentary editorial participation, the Company's aggregate contractual monetary liability shall not exceed one hundred U.S. dollars (US $100), except where applicable law requires otherwise.

This limitation does not automatically govern separately purchased commercial services or independently executed agreements.

Nothing in this section excludes liability for fraud, willful misconduct, or other conduct for which liability cannot lawfully be excluded or limited.

40. Contributor Indemnification

To the extent permitted by law, Contributors agree to indemnify AmpLever against reasonable third-party claims, liabilities, damages, and expenses arising directly from:

  1. A material breach of the Contributor's warranties regarding ownership or authorization.

  2. Knowingly infringing materials supplied by the Contributor.

  3. Fraudulent or intentionally misleading submissions.

  4. Unauthorized disclosure of legally protected confidential information.

  5. Unauthorized use of another person's legally protected identity.

Indemnification does not extend to losses caused by AmpLever's independent unlawful conduct, unauthorized alterations, or uses beyond the granted license.

AmpLever shall provide reasonable notice of covered claims and permit appropriate participation in their defense.

41. Editorial Disputes and Reputation

Contributors acknowledge that publication may attract public commentary, criticism, disagreement, or third-party attention.

AmpLever does not guarantee favorable public reception.

The Company is not responsible for independent statements made by unrelated third parties merely because they discuss a published article.

However, nothing in this section limits AmpLever's responsibility for its own unlawful statements, publications, or conduct.

42. Service Interruptions and External Events

AmpLever may experience interruptions caused by hosting providers, network failures, cybersecurity incidents, government actions, natural disasters, or other events beyond reasonable control.

The Company will make commercially reasonable efforts to maintain services where appropriate.

AmpLever does not guarantee uninterrupted publication availability.

This section does not excuse obligations that applicable law requires the Company to perform.

PART X — ADMINISTRATION & CONTRACTUAL PROVISIONS

43. Electronic Agreements and Records

AmpLever may obtain acceptance through electronic signatures, checkboxes, digital forms, and other legally recognized electronic methods.

Where legally permitted, electronic acceptance has the same effect as an equivalent written acceptance.

The Company may maintain records including:

  • Contributor identity.

  • Agreement version.

  • Acceptance date and time.

  • Submission identifier.

  • Content submitted.

  • Publication status.

  • Relevant consent records.

  • Other information reasonably necessary to demonstrate agreement formation.

Electronic records may be used to establish the scope of permissions granted.

AmpLever will retain and process such records in accordance with applicable law and its Privacy Policy.

44. Changes to These Terms

AmpLever may revise these Terms to reflect changes in law, technology, publishing practices, or business operations.

The Company will update the effective date when revisions are made.

Material changes affecting existing rights or obligations will be communicated as required by applicable law.

A revised agreement will not automatically expand previously granted Contributor licenses or impose new arbitration obligations retroactively without legally sufficient assent.

Existing submissions remain governed by the agreement applicable to them unless the parties validly agree otherwise.

45. Assignment and Transfer

AmpLever may assign these Terms or applicable rights in connection with a lawful merger, acquisition, restructuring, or transfer of the relevant business, subject to applicable law and the scope of the rights granted.

Any successor must respect applicable Contributor rights and contractual restrictions.

Contributors may not transfer obligations under these Terms in a manner that prejudices AmpLever without appropriate authorization.

Nothing in this section transfers copyright ownership where no valid assignment exists.

46. Severability

If a provision is found invalid or unenforceable, the remaining provisions shall continue in effect to the extent legally permissible.

A court or arbitrator may apply a lawful interpretation consistent with the parties' intentions where permitted.

Special severability provisions within the arbitration section control disputes concerning that section.

47. No Waiver

Failure by AmpLever to enforce a provision does not automatically waive the right to enforce it later.

A waiver must be legally effective and applies only to the circumstances for which it is given.

48. Entire Agreement

These Terms, together with incorporated policies and separately accepted agreements, constitute the applicable agreement between the parties concerning the subject matter addressed.

Separate magazine licensing, advertising, sponsorship, consulting, or commercial service agreements remain effective according to their own provisions.

No informal communication modifies a separately executed agreement unless legally sufficient and authorized.

49. Survival

Provisions that by their nature should survive termination or discontinuation shall remain effective to the extent permitted by law.

These may include:

  • Intellectual property ownership.

  • Validly granted publishing licenses.

  • Lawful archival rights.

  • Outstanding payment obligations.

  • Applicable warranties and indemnification.

  • Limitations of liability.

  • Dispute-resolution provisions.

  • Confidentiality obligations.

  • Other accrued legal rights.

Survival does not override statutory termination rights or other mandatory law.

By accessing or using AmpLever-operated websites and services, users are provided notice of the applicable Terms of Use. Continued use may constitute acceptance of applicable provisions where legally sufficient notice and assent have been established under governing law.

Certain activities, including submitting interviews, contributing original content, authorizing publication, purchasing services, or entering into other contractual arrangements, may require additional affirmative consent.

Where required, such consent may be obtained electronically through checkboxes, digital acknowledgments, electronic signatures, or other legally recognized methods.

Electronic agreements and records may be maintained in accordance with the federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act), the Colorado Uniform Electronic Transactions Act, and other applicable laws.

AmpLever may retain records of electronic acceptance, including the applicable agreement version, date and time of acceptance, submission identification, and other information reasonably necessary to establish the terms agreed upon.

Publication and Contributor Consent

Submitting materials for editorial consideration does not automatically transfer copyright ownership to AmpLever, LLC. Where a

Contributor affirmatively accepts the applicable publishing agreement, the Contributor grants the publication, distribution, promotional, and archival permissions expressly described in these Terms.

Dispute Resolution Acknowledgment

These Terms contain provisions concerning mediation, binding arbitration, and dispute resolution in Denver, Colorado, as described in Section 35. Such provisions apply only where a legally enforceable agreement has been formed and remain subject to applicable exceptions, opt-out rights, and mandatory legal protections.
